B2B Terms of Service

These B2B Terms of Service govern all business-to-business transactions, bulk orders, customization services, private labeling, and commercial engagements offered by Genie Pads, operated by Vatsalya Wellness Private Limited. These terms apply in addition to other applicable policies on the website.

1. Scope of B2B Services

B2B services may include, but are not limited to:

  • Bulk procurement

  • Custom packaging

  • Private labeling

  • Product or design customization

  • Technology or material customization

The scope of services may vary based on client requirements and feasibility.

2. Quotations and Order Confirmation

  • All B2B orders are processed based on a written quotation

  • Pricing, specifications, timelines, and deliverables are finalized only after:

    • Quotation approval

    • Written confirmation

    • Advance payment, where applicable

Verbal discussions or informal communications are not binding unless confirmed in writing.

3. Advance Payment

  • Advance payment is mandatory for B2B orders

  • Production, customization, or dispatch begins only after receipt of the agreed advance

Payment terms may vary depending on the nature and scale of the order and will be specified in the quotation.

4. Customization and Approvals

  • Customization work begins only after final approval of designs, specifications, and samples (if applicable)

  • Any changes requested after approval may:

    • Impact pricing

    • Extend timelines

    • Require revised confirmation

Clients are responsible for timely approvals to avoid delays.

5. Delivery Timelines

  • B2B delivery timelines vary based on:

    • Customization level

    • Order volume

    • Material availability

    • Client approvals

Estimated timelines are indicative and may be revised if:

  • There are changes in specifications

  • Approvals are delayed

  • Force majeure events occur

6. Delays and Force Majeure

Genie Pads shall not be held responsible for delays caused by:

  • Client-side delays

  • Changes in order specifications

  • Natural disasters, strikes, or unforeseen events

In such cases, delivery timelines will be revised accordingly.

7. Returns, Replacements, and Cancellations (B2B Orders)

  • Returns, replacements, or cancellations are not permitted after the order has been shipped

  • This applies to all B2B orders, including bulk, customized, private-labeled, or standard B2B supplies

Before shipment:

  • Any request for modification, cancellation, or revision is evaluated on a case-by-case basis

  • Approval is subject to:

    • Stage of production

    • Customization already completed

    • Written agreement between both parties

Once an order is shipped, it is considered final and non-returnable.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Genie Pads’ liability in any B2B engagement shall be limited to the value of the specific order

  • Genie Pads shall not be liable for:

    • Indirect or consequential losses

    • Loss of profits

    • Business interruption

    • Reputational damages

9. Intellectual Property

  • All intellectual property created or shared during a B2B engagement remains the property of the respective owner unless otherwise agreed in writing

  • Unauthorized use of Genie Pads’ brand, technology, patents, or materials is strictly prohibited

10. Confidentiality

Any confidential information shared during discussions, quotations, or execution of B2B orders must not be disclosed to third parties without prior written consent.

11. Governing Law

These B2B Terms of Service are governed by the laws of India. Any disputes shall be subject to the jurisdiction of Indian courts based at Bhubaneshwar, Odisha, India.

12. Changes to These Terms

We reserve the right to update or modify these B2B Terms of Service at any time. Any changes will be reflected on this page with an updated revision date.
